Vue PDF Viewer End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Vue PDF Viewer ("Licensor") governing the use of the Vue PDF Viewer software and associated materials ("Software"). By purchasing a license through Licensor's website, and/or by installing or using the Software without a watermark, Licensee agrees to be bound by this Agreement. If Licensee does not agree, no license should be purchased or activated, and the Software must not be used beyond its watermark-limited evaluation mode.

This Agreement should be read in conjunction with the Terms and Conditions ( https://www.vue-pdf-viewer.dev/terms-and-conditions) and the Privacy Policy ( https://www.vue-pdf-viewer.dev/privacy), which together form the complete agreement between Licensee and Licensor.

1. Definitions

  • Developer An individual who directly installs, configures, or writes code that integrates the Software into an End Product. Individuals who merely use, test, or interact with the End Product without accessing the Software's source code or configuration are not considered Developers.
  • End Product A product or application developed using the Software. For example, a website or web application that incorporates the Software constitutes an End Product. The Software may be incorporated as a component in an End Product, but it must not be made available for independent use, reuse, or redistribution.
  • Licensee The individual or entity acquiring the Software license.
  • License Key A unique key generated through Licensor's website that authenticates licensed usage and removes the watermark from the Software.

2. License Types

2.1 Viewer Developer License

Grants a single Developer the right to use the viewer features of the Software as described at https://www.vue-pdf-viewer.dev/pricing to develop End Products. If multiple Developers require access, a separate Viewer Developer License must be purchased for each.

2.2 Viewer Organization License

Grants a legal entity the right for all its employees and contractors to use the viewer features of the Software as described at https://www.vue-pdf-viewer.dev/pricing to develop End Products, without limitation on the number of Developers. The Viewer Organization License also includes the right to use the Software in an on-premise environment without requiring internet access for license validation.

2.3 Viewer and Annotation Developer License

Includes all rights under the Viewer Developer License and access to the annotation features as described at https://www.vue-pdf-viewer.dev/pricing. If multiple Developers require access, a separate Viewer and Annotation Developer License must be purchased for each.

2.4 Viewer and Annotation Organization License

Includes all rights under the Viewer Organization License and access to the annotation features as described at https://www.vue-pdf-viewer.dev/pricing. This license does not impose a cap on the number of Developers within the organization. The Viewer and Annotation Organization License also includes the right to use the Software in an on-premise environment without requiring internet access for license validation.

Feature availability for each license tier is described at https://www.vue-pdf-viewer.dev/pricing and may be updated from time to time. Any reduction in features available under Licensee's license tier during an active support period shall not take effect until the next renewal date.

3. Evaluation Use

The Software may be installed via npm and used in evaluation mode, during which output will include a watermark. Such evaluation use is permitted solely for testing and non-commercial purposes. Removal of the watermark and any commercial use of the Software requires the purchase and activation of a valid license under this Agreement.

4. License Grant

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to:

(a) Use the Software to create unlimited End Products for internal use or for Licensee's clients, provided those clients are not independently developing new products with the Software.

(b) Distribute the Software as part of an End Product, provided the Software cannot be extracted or used independently by third parties and provided that end users do not use the Software to develop their own End Products.

(c) Retain ownership of all original content created with the Software, while Licensor retains all rights, including copyright and all other intellectual property rights related to the Software.

5. Account Requirements

Access to the Software, License Key management, and support services is provided through Licensee's account on the Service. An account is automatically created upon purchase of a License using the email address provided at the time of purchase. On first login, Licensee will be required to set a password.

Licensee's use of the account is governed by the Terms and Conditions available at https://www.vue-pdf-viewer.dev/terms. Licensee agrees to comply with all account security obligations set out therein.

A single Developer License is linked to a single account. Organization Licenses may have multiple authorized users accessing a single account, as described in the Terms and Conditions.

6. Updates and Support

All license tiers include one (1) year of support and updates beginning from and inclusive of the date of purchase. After this period, Licensee may continue using the versions released during the active support period indefinitely, but will no longer receive updates or support unless the license is renewed.

7. Restrictions

Licensee shall not:

(a) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.

(b) Permit the Software to be copied or extracted by an end user of the End Product and used independently from the End Product.

(c) Remove, alter, or obscure any copyright, trademark, or proprietary notices within the Software.

(d) Create End Products that directly compete with or are substantially similar to the Software itself.

(e) Resell, sublicense, or redistribute the Software except as part of an End Product as permitted in Section 4.

(f) Share or misuse License Keys or account credentials in violation of the Terms and Conditions.

(g) Circumvent, remove, alter, or disable any watermark, license validation mechanism, or other technical protection measure applied by the Software.

8. Usage Restrictions

All license tiers (including those with annotation) are restricted from being used in the following contexts without a separate, custom license agreement:

(a) OEM or redistributable products

(b) Desktop applications

(c) Mobile applications

9. Intellectual Property

All rights, title, and interest in and to the Software remain with Licensor. This Agreement does not grant Licensee any rights to Licensor's trademarks, trade names, or logos. All original content created by Licensee using the Software remains Licensee's intellectual property.

10. Warranties and Disclaimer

The Software is provided "AS IS," without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Licensor's total liability under this Agreement shall not exceed the amount paid by Licensee for the Software. In no event shall Licensor be liable for indirect, incidental, or consequential damages.

12. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Vue PDF Viewer, its officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

(a) Licensee's End Products or the use thereof by Licensee's end users;

(b) Licensee's use of the Software in breach of this Agreement; or

(c) Licensee's violation of any applicable law or regulation in connection with the Software.

13. Term and Termination

This Agreement is perpetual and remains in effect unless terminated.

This Agreement may be terminated in the following circumstances:

(a) Licensee materially breaches any term of this Agreement, including but not limited to usage restrictions, unauthorized redistribution, or unauthorized removal or circumvention of watermarks, and fails to remedy such breach within fourteen (14) days of written notice from Licensor;

(b) Licensee engages in conduct that constitutes an immediate terminable offence under the Terms and Conditions, including fraudulent activity or unauthorized access;

(c) Licensee's account is terminated in accordance with the Terms and Conditions.

Upon termination, Licensee must cease all use of the Software and destroy all copies in Licensee's possession. Licensee may no longer use any License Keys to remove watermarks or generate new License Keys.

Survival of Deployed End Products

Any End Products lawfully created and deployed prior to termination may continue to operate, but Licensee may not create new End Products or modify existing integrations using the Software.

Termination of this Agreement does not entitle Licensee to a refund of any License fees paid, except where required by applicable law.

14. Data Protection and Privacy

14.1 Local Operation

The Software operates entirely within Licensee's environment. The Software does not transmit, collect, or store personal data on behalf of Licensee, and all data processed by the Software remains under Licensee's control.

14.2 License Key and Account Management

License Keys are generated through Licensor's website. Account creation requires Licensee to provide an email address and set a password. Such information is processed in accordance with Licensor's Privacy Policy, available at https://www.vue-pdf-viewer.dev/privacy.

14.3 Licensee Responsibility

Licensee remains solely responsible for compliance with applicable data protection laws, including the Personal Data Protection Act 2012 of Singapore (PDPA) and, where applicable, the EU General Data Protection Regulation (GDPR), in relation to any personal data processed using the Software. Licensor does not act as a processor of Licensee's data.

15. Export Control

Licensee shall comply with all applicable export laws and regulations and shall not export or re-export the Software to prohibited jurisdictions or users.

16. Governing Law and Jurisdiction

This Agreement shall be governed by and construed under the laws of Singapore, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

17. Updates to Agreement

The latest version of this Agreement will always be available at https://www.vue-pdf-viewer.dev/license. Licensor may update this Agreement from time to time. By continuing to use the Software after an update takes effect, Licensee agrees to be bound by the updated version.
